Declaration on Corporate Governance/Diversity Concept/Declaration of the Supervisory Board
The Supervisory Board has no (abstract) diversity concept with regard to the composition of the Executive Board and the Supervisory Board. In the Declaration of Compliance, the Executive Board and Supervisory Board already state with regard to Code recommendation C.1 sentences 1 and 2 that the Supervisory Board considers the objective of diversity to be important alongside other objectives and that it takes this into account whenever possible when making specific staffing decisions. However, the Supervisory Board does not consider it appropriate or purposeful to define objectives for its composition based on an abstract skills profile for a company the size of the technology-oriented R. STAHL AG. This also applies to diversity. Decisions on the appointment of Executive Board members and proposals for the election of Supervisory Board members are made solely on the basis of qualifications and specific requirements in the respective staffing situation. Nevertheless, the Supervisory Board pursues the objective of continuously developing the composition of personnel and thus the skills and experience in the Executive Board and the Supervisory Board.
