Managers' Transactions

OBLIGATIONS TO NOTIFY

On 3rd July 2016, the European Market Abuse Regulation (MAR) came into force. The scope of the requirements with regard to managers' transactions (formerly "directors' dealings") has been broadened considerably. In accordance with art. 19 MAR, persons who perform a managerial role for a share issuer must inform the issuer and the Federal Financial Supervisory Authority immediately and no later than three business days after the date of the transaction of any own-account transactions involving shares from the issuer or related financial instruments, especially derivative financial instruments. The same obligation applies to natural and legal persons, having a close connection to such a person.

Furthermore, management personnel in terms of the Market Abuse Directive, Article 3 (1) (25) are not allowed to deal in R. STAHL shares or other financial instruments of R. STAHL AG during a period of 30 calendar days before an interim report or an annual report of R. STAHL AG is published. Since 1 January 2020, the obligation to disclose own-account transactions does not apply if the total sum of transactions for a person performing a managerial role or the person closely connected to this person amounts to less than €20,000 by the end of the calendar year (general decree of the Federal Financial Supervisory Authority from 24 October 2019).
